1. Acceptance of Terms
By accessing or using threadoraph.com (the “Site”), purchasing a product through our storefront, or subscribing to our Cooperative Advertising Program, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Site or our services.
If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use this Site, purchase products, or subscribe to our Cooperative Advertising Program. By using our services, you represent that you meet this requirement.
3. Acceptable Use of the Website
When using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable local, national, or international law
- Attempt to gain unauthorized access to our systems, servers, or any connected network
- Interfere with or disrupt the Site’s functionality, including through malware, scraping bots, or denial-of-service attempts
- Copy, reproduce, or redistribute Site content without our written permission
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Submit false or misleading information through any form on the Site, including the contact form or Cooperative Advertising Program signup
We reserve the right to suspend or terminate access to the Site or our services for any user who violates these terms of use.
4. Intellectual Property
All content on the Site โ including text, graphics, logos, the Threadora name and branding, white papers, and other materials โ is the property of Threadora Digital Marketing or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written consent.
Ad creatives produced by Threadora on behalf of a Cooperative Advertising Program subscriber using that subscriber’s brand assets become the property of the subscriber upon full payment of applicable fees, as further detailed in Section 6 of the Cooperative Advertising Service Agreement.
5. Third-Party Links & Services
The Site may contain links to third-party websites or rely on third-party services (including Google Ads, Meta Ads, Zoho Campaigns, payment processors such as Maya Business, and dropship supplier platforms). We are not responsible for the content, accuracy, or practices of these third parties, and your use of any third-party service is subject to that party’s own terms and privacy policy.
6. Orders & Pricing
All product orders placed through the Site are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraudulent activity. If we cancel an order after payment has been processed, you will receive a full refund of the amount charged.
Prices are listed in [USD / PHP โ specify your primary storefront currency] and are subject to change without notice. The price charged at the time of order confirmation is the price that applies to your purchase.
7. Shipping & Fulfillment
Many products sold through Threadora are fulfilled via dropship arrangements with our supplier network, primarily sourced from India. As a result:
- Shipping times vary by product and supplier, and estimated delivery windows shown at checkout are estimates, not guarantees
- Some orders may ship in multiple packages or from multiple origin locations if your order includes items from different suppliers
- International shipping may be subject to customs duties, import taxes, or fees imposed by your country, which are the responsibility of the customer unless otherwise stated at checkout
- Tracking information will be provided where available; not all suppliers offer real-time tracking
8. Returns & Refunds
Returns and refunds for both products and Cooperative Advertising Program payments are governed by our dedicated Returns & Refunds Policy, which is incorporated into these Terms by reference. In summary:

9. Product Disclaimers
Product images, descriptions, and colors are provided by our suppliers and presented in good faith, but may vary slightly from the item received due to manufacturing variation, screen display differences, or supplier-side updates. For health and beauty products specifically, we do not make medical claims, and customers should review ingredient lists and consult a healthcare professional before use if they have allergies, sensitivities, or pre-existing conditions.
10. Cooperative Advertising Program Overview
Threadora’s Cooperative Advertising Program allows subscribers to pool their advertising budgets with other subscribers to access the cost efficiencies and performance benefits of larger, combined ad buys on Google Ads, Meta Ads, and other platforms. Full program details, subscription tiers, and the binding service terms for this program are set out in our Cooperative Advertising Service Agreement, which every subscriber must separately review and accept before joining. These Terms summarize the key points; where there is any conflict between this section and the Service Agreement, the Service Agreement governs.
11. Budget Pooling & Fund Handling
By subscribing to the Cooperative Advertising Program, you acknowledge and agree that your advertising budget may be pooled with other subscribers’ budgets for the purpose of cooperative campaign management. Threadora maintains subscriber funds within clearly labeled campaign allocations, separate from Threadora’s own operating funds, and does not commingle subscriber advertising budgets with business operating capital.
One-time co-op contributions are allocated toward a specific pooled ad buy once the subscription threshold for that buy is reached. Monthly subscriptions are billed in advance and allocated to ongoing pooled campaigns on a recurring basis.
12. No Performance Guarantee
Important
Threadora does not guarantee specific advertising results, click-through rates, conversion rates, or return on ad spend (ROAS) for any Cooperative Advertising Program subscriber. Digital advertising performance depends on market conditions, platform algorithm behavior, competitive dynamics, and product/audience fit โ all factors outside Threadora’s control. Subscribing to a higher tier or contributing a larger budget improves statistical likelihood of better performance but does not guarantee any specific outcome.
13. Billing & Cancellation
Monthly subscription fees are billed in advance on your billing cycle start date. You may cancel at any time with 14 days’ written notice; cancellation takes effect at the end of your current billing period, with no prorated refund for the remaining days in that period. One-time co-op contributions may be refunded in full only if requested before the associated pooled campaign has launched. Full billing terms, late payment consequences, and reactivation procedures are set out in the Cooperative Advertising Service Agreement and the Returns & Refunds Policy.
14. Limitation of Liability
To the fullest extent permitted by law, Threadora Digital Marketing’s total liability to you for any claim arising from your use of the Site, a product purchase, or your Cooperative Advertising Program subscription shall not exceed the total amount you paid to Threadora in the three (3) months immediately preceding the claim.
Threadora is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost business opportunities, or advertising performance outcomes, arising from your use of our services.
15. Indemnification
You agree to indemnify and hold harmless Threadora Digital Marketing, its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of our services, or your violation of any applicable law or third-party right.
16. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI), consistent with the dispute resolution terms in our Cooperative Advertising Service Agreement.
If you are a consumer located in a jurisdiction that grants you non-waivable consumer protection rights under local law (such as certain EU or US state consumer protection statutes), nothing in this section limits those rights where applicable law requires otherwise.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. We will post the updated Terms on this page with a revised “Last updated” date. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms. For material changes affecting Cooperative Advertising Program subscribers, we will provide additional notice as required under the Service Agreement.
